Terms of Service
Effective date: May 16, 2026 · Applies to: veraCrew software and auxiliary services accessed via the Veracrew website or dashboards
These Terms govern trial, paid, and evaluation access to VeraCrew. They are drafted for clarity while final contract language undergoes counsel review alongside your organization's ordering documentation.
Eligibility & account responsibilities
You must:
- Maintain accurate profile data and safeguard credentials issued to Users.
- Restrict access credentials to workforce members aligned with organizational policies.
- Notify Veracrew without undue delay if unauthorized access occurs.
Organizational administrators attest they have authority to bind their entity to Stripe checkout flows where applicable.
Subscriptions, billing & cancellation
- Fees: Recurring subscriptions charge through Stripe in the currency surfaced at checkout unless a written order modifies pricing.
- Renewals: Subscriptions renew per the cadence you select until cancelled or superseded by a new order form.
- Cancellation: Owners may downgrade or terminate from in-product billing controls whenever available; cancellations take effect subject to prepaid periods and Stripe proration behaviors.
- Taxes: You are responsible for applicable taxes Stripe quotes at checkout unless valid exemption documentation is furnished.
Acceptable use
- No attempts to degrade, bypass, scrape, automate beyond reasonable API expectations, or attack Veracrew.
- No uploading unlawful or malicious content intended to exploit other tenants.
- Use data inside Veracrew consistent with confidentiality obligations owed to crews and counterparties.
Service levels & warranties
Veracrew is supplied “as is.” Unless a separate SLA exists, uptime targets reflect commercially reasonable efforts without guarantee. To the fullest extent permitted, implied warranties such as merchantability or fitness-for-purpose are disclaimed except where jurisdictions prohibit such disclaimers.
Liability caps
Except for fraud, willful misconduct, or obligations cannot be capped by governing law, each party's cumulative liability mirrors what is spelled out in the governing order documents (typically limited to fees paid in the preceding twelve-month window or nominal statutory minimums whichever is larger).
Suspension & termination
We may suspend access for overdue payments, material legal risk, unacceptable load, suspected compromise, or emergency maintenance. Administrators may terminate for convenience pursuant to Stripe subscription rules and any enterprise agreement.
Governing law & updates
These Terms follow the jurisdiction named in executed order forms unless otherwise stated. Updates post to this page with refreshed effective dating; materially adverse changes merit additional notice reasonably practicable for paying customers prior to renewal.
